DealSherpa Terms of Service

Welcome to DealSherpa, your ultimate AI deal guide for business acquisitions!

These Terms of Service ("Terms") govern your access to and use of the DealSherpa website, applications, and services (collectively, the "Service" or "DealSherpa"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

1. Definitions

"DealSherpa," "we," "us," or "our" refers to the provider of the Service.

"User," "you," or "your" refers to any individual or entity accessing or using the Service.

"Service" refers to the DealSherpa AI-powered platform, including its website, applications, features, and functionalities.

"Content" refers to any data, information, documents, text, images, or other materials you upload, submit, or make available through the Service.

"AI Analysis Output" refers to the insights, recommendations, questions, ratings (A+ to F), and any other data generated by DealSherpa's AI based on your Content.

"Deal" refers to a business acquisition project created and managed within the Service.

2. Acceptance of Terms

By creating an account, uploading Content, paying for a Service, or otherwise accessing or using DealSherpa, you agree to these Terms. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

3. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the new Terms on the Service or through other communication methods. Your continued use of the Service after such modifications will constitute your acknowledgment and agreement to the modified Terms.

4. The Service

DealSherpa provides an AI-powered platform designed to assist users in analyzing potential business acquisition deals. This includes, but is not limited to:

  • Secure user authentication and account management.
  • Deal creation and dashboard management.
  • Document upload to Supabase Storage for analysis.
  • Per-deal billing triggered by document upload.
  • AI-driven financial analysis (CPA perspective) including ratios and metrics.
  • AI-driven legal analysis (Attorney perspective) of contracts and agreements.
  • Business rating (A+ to F) for financial, legal, and overall categories.
  • AI Advisor providing recommendations and questions.
  • Deal notes and intelligence.
  • Subscription management via Stripe Customer Portal.
  • Learning resources on business acquisitions.

5. User Accounts

Registration:

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security:

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify DealSherpa immediately of any unauthorized use of your account or any other breach of security.

Eligibility:

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

6. Payment and Billing

Per-Deal Billing:

Access to DealSherpa's AI analysis features is subject to a per-deal fee, as outlined on our pricing page and confirmed during the deal creation process.

Charge Trigger:

The per-deal fee is charged once documents for a specific deal are uploaded for AI analysis.

Subscription Tiers:

We offer various subscription tiers (e.g., Basic, Premium, Enterprise) which may define limits on the number of active deals or features accessible.

Payment Method:

You agree to provide a valid payment method and authorize DealSherpa (via Stripe) to charge the applicable fees.

No Refunds:

Unless explicitly stated otherwise in a separate agreement or required by law, all fees are non-refundable.

Taxes:

All fees are exclusive of applicable taxes, duties, levies, or charges imposed by any governmental authority, which you are responsible for paying.

Free Deals:

If you are granted "free deals" by a Super Admin, these will be consumed before any charges apply, as per the terms of such grant.

7. User Content and AI Analysis Output

Ownership of User Content:

You retain all ownership rights to the Content you upload or submit to the Service. You are solely responsible for the accuracy, legality, and appropriateness of your Content.

License to DealSherpa:

By uploading Content, you grant DealSherpa a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, process, and display your Content solely for the purpose of operating, providing, and improving the Service (e.g., to perform AI analysis and generate AI Analysis Output).

Confidentiality:

DealSherpa endeavors to maintain the confidentiality of your Content, particularly sensitive financial and legal documents, and employs reasonable security measures to protect it. However, no security system is impenetrable.

AI Analysis Output Ownership:

The AI Analysis Output generated by the Service based on your Content is owned by DealSherpa. DealSherpa grants you a non-exclusive, worldwide, perpetual license to use, reproduce, and share the AI Analysis Output solely for your internal business purposes related to the analyzed deal.

Feedback:

If you provide us with any feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Service.

8. Acceptable Use

You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms. You may not:

  • Upload any Content that is illegal, harmful, threatening, abusive, defamatory, obscene, or infringing on intellectual property rights.
  • Use the Service to transmit any viruses, malware, or other harmful code.
  • Interfere with or disrupt the integrity or performance of the Service or data contained therein.
  • Attempt to gain unauthorized access to DealSherpa's systems or networks.
  • Copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software.
  • Use the Service for any competitive analysis or to build a competing product or service.

9. Disclaimers and AI Limitations

NOT FINANCIAL, LEGAL, OR BUSINESS ADVICE:

DealSherpa is an AI-powered tool. The AI Analysis Output, recommendations, questions, and ratings provided by DealSherpa are for informational and analytical purposes only and do NOT constitute financial, legal, tax, accounting, investment, or business advice. You should consult with qualified human professionals (e.g., CPAs, attorneys, financial advisors, business consultants) for specific advice tailored to your situation.

NO GUARANTEE OF ACCURACY OR COMPLETENESS:

While DealSherpa strives for accuracy, AI models can make errors. We do not warrant the accuracy, completeness, timeliness, or reliability of any AI Analysis Output. You are solely responsible for verifying the accuracy of any information obtained from the Service before making any decisions.

NO GUARANTEE OF DEAL SUCCESS OR LOAN APPROVAL:

Use of DealSherpa does not guarantee the success of any acquisition deal, the approval of any loan (e.g., SBA loans), or any specific financial outcome. All business decisions are made at your own risk.

"AS IS" BASIS:

The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Service Availability:

We do not guarantee that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall DealSherpa, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any Content or AI Analysis Output obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or Content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

11. Indemnification

You agree to defend, indemnify, and hold harmless DealSherpa and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any intellectual property, property, or privacy right; or (iv) any claim that your Content caused damage to a third party.

12. Termination

By You:

You may stop using the Service at any time by deactivating your account.

By Us:

We may suspend or terminate your access to the Service at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Effect of Termination:

Upon termination, your right to use the Service will immediately cease. Sections related to ownership, payment, disclaimers, limitation of liability, indemnification, and governing law will survive termination. We are not responsible for retaining your Content or AI Analysis Output after termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You agree to submit to the personal jurisdiction of such courts.

14. Miscellaneous

Entire Agreement:

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DealSherpa.

Severability:

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

No Waiver:

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and DealSherpa's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
